Brian Brooks, known as an OCC comptroller and Binance.US’ former CEO is now a MicroStrategy Board member
From CEO at Binance.US, Brian Brooks is now a MicroStrategy (MSTR) board member, a business intelligence software company, and a top Bitcoin (BTC) holder. The move suggests that the Michael Saylor-led firm plans to take its crypto involvement to a new level.
MicroStrategy’s Board Members’ Award
According to a filing with the United States Securities and Exchange Commission (SEC), MicroStrategy expanded its board of directors by adding three new members.
Besides Brooks, the other two are Jane Dietze, who also sits on Galaxy Digital’s board, and Gregg Winiarski, the chief legal officer at Fanatics Holdings. Based on their addition, MicroStrategy now has a nine-man board of directors, per the recent filing with the US SEC.
Brooks, Dietze, and Winarski’s contract with MicroStrategy makes them eligible for equity awards valued at $2 million.
Per thе filing with the security agency, it consists of options аnd rеstrictеd stock units (RSUs) in equal percentages. They are sеt to vеst ovеr а four-yеаr pеriod. Markedly, the еquity аwаrds aligns thеir incеntivеs with thе compаny’s long-tеrm goаls.
For quite some reasons, including his wealth of knowledge, Brooks’ addition to the board is a “big deal” and has stirred some excitement in the crypto ecosystem.
Even crypto commentator MacroScope told its followers on X that “all three are good, especially Brooks.” From being the acting Comptroller of the Currency and overseeing the entire US banking system, Brooks moved to become Binance.US CEO.
After less than four months, he resigned in August 2021, citing “differences over strategic direction.” Recently, he came to the spotlight after his potential takeover from Gary Gensler, SEC Chair, under Donald Trump’s administration was rumored. However, the president-elect has already nominated Paul Atkins as the incoming SEC Chair.
MicroStrategy to Join Nasdaq Index
Meanwhile, this news comes only a few days after it was announced that MicroStrategy will join the Nasdaq-100 Index on December 23, 2024.
Nasdaq announced the inclusion of Michael Saylor’s firm alongside Palantir Technologies Inc. (PLTR) and Axon Enterprise, Inc. (AXON) in its December 13 official statement.
All three companies will replace Illumina, Inc. (ILMN), Super Micro Computer, Inc. (SMCI), and Moderna, Inc. (MRNA) on the prestigious index. As a result, MicroStrategy will sit amongst Nasdaq’s 100 largest companies by market capitalization.
